Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of GrayCRM ("Service"), operated by Eighty Eight Services LLC (GrayCRM Division) ("we", "us", "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
Account Terms
Account Creation
- You must be 16 years or older to use this Service
- You must provide accurate and complete information when creating an account
- You are responsible for maintaining the security of your account and password
- You are responsible for all activity under your account
- One person or legal entity may not maintain more than one free account
Account Responsibilities
- You may not use the Service for any illegal or unauthorized purpose
- You may not violate any laws in your jurisdiction (including copyright laws)
- You may not attempt to gain unauthorized access to the Service or related systems
- You may not transmit malware, viruses, or harmful code
- You may not use the Service to store or distribute illegal content
API Usage
Rate Limits
API usage is subject to rate limits based on your subscription plan. Exceeding these limits may result in throttling or temporary suspension of API access.
API Keys
- You are responsible for securing your API keys
- Do not share API keys publicly or embed them in client-side code
- Immediately revoke and regenerate keys if they are compromised
- You are responsible for all activity performed with your API keys
Prohibited API Usage
- No automated scraping or data mining without explicit permission
- No reverse engineering or attempting to access source code
- No circumventing rate limits or access controls
- No reselling or redistributing API access without authorization
Payment Terms
Billing
- Paid plans are billed monthly or annually in advance
- All fees are non-refundable except as required by law
- We reserve the right to change pricing with 30 days' notice
- You are responsible for all applicable taxes
Payment Methods
We accept major credit cards and ACH bank transfers. Payment processing is handled securely by Stripe. We do not store your payment card information.
Failed Payments
If a payment fails, we will attempt to charge your payment method up to 3 times. If payment continues to fail, your account may be suspended or downgraded to a free plan.
Cancellation and Termination
Your Rights
- You may cancel your account at any time through your account settings
- Upon cancellation, you will continue to have access until the end of your billing period
- You may export your data before cancellation
- We will delete your data within 30 days of cancellation
Our Rights
We reserve the right to suspend or terminate your account if:
- You violate these Terms of Service
- Your use of the Service poses a security or legal risk
- You engage in fraudulent or illegal activity
- Your account has been inactive for more than 12 months
Intellectual Property
Our Property
The Service, including all content, features, and functionality, is owned by Eighty Eight Services LLC and is protected by copyright, trademark, and other intellectual property laws. You may not:
- Copy, modify, or create derivative works of the Service
- Reverse engineer or attempt to extract source code
- Use our trademarks or branding without permission
- Remove or alter any copyright notices or proprietary markings
Your Data
You retain all rights to the data you store in the Service. By using the Service, you grant us a limited license to store, process, and transmit your data solely for the purpose of providing the Service to you.
Data Privacy and Security
Our collection and use of personal information is described in our Privacy Policy.
While we implement industry-standard security measures, you acknowledge that no method of transmission over the Internet is 100% secure. You use the Service at your own risk.
Service Availability
Uptime
We strive to maintain high availability of the Service. However, we do not guarantee uninterrupted access. We may experience:
- Scheduled maintenance (with advance notice when possible)
- Emergency maintenance for security or stability
- Outages due to circumstances beyond our control
Service Level Agreement (Enterprise)
Enterprise customers receive an SLA guaranteeing 99.9% uptime. Details are provided in your Enterprise agreement.
Limitation of Liability
To the maximum extent permitted by law, Eighty Eight Services LLC and its affiliates, officers, employees, agents, and licensors shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Service interruptions or downtime
- Unauthorized access to or alteration of your data
- Third-party content or conduct
Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.
Indemnification
You agree to indemnify and hold harmless Eighty Eight Services LLC and its affiliates from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any rights of another party, or (d) your data.
Dispute Resolution
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law principles.
Arbitration
Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by:
- Posting the updated Terms on this page
- Updating the "Last updated" date
- Sending an email to your account email address
Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
Miscellaneous
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Eighty Eight Services LLC regarding the Service.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
